Content Creator Agreement

Key points at a glance

Your roleIndependent contractor who films and submits original content to GEM. You are not an employee.
How you are paidA share of the revenue GEM actually receives from each published video made with your footage. For 24 months your share starts at 70% each calendar month and rises automatically up to 90% once your earnings in that month reach $10,000 (clause 4 and Schedule 1). After that, a 20% royalty for as long as the video earns (clause 4.4(e)). There is no upfront or joining fee.

When payment startsOnly after the channel the video is on is monetised and GEM has received revenue from it. This can take many months, and a video that earns nothing pays nothing.
How often you're paidWeekly (Fridays) or monthly (28th), your choice, whenever your available balance is at least $50 (clause 4.7), less the 5% admin fee. Smaller amounts roll over.
StatementsA statement for every quarter in the app, plus a live dashboard (clauses 4.6 and 4.8).

1. Parties

This agreement is between Yamu Aryal, a sole trader of New South Wales, Australia (ABN 20 230 614 458), who runs the Gentle Everyday Moments (GEM) channels, email gentleeverydaymoments@gmail.com ("GEM"), and the person who accepts it in the GEM Creators app ("you").

2. Start date and term

This agreement starts when you sign it in the GEM Creators app and continues until ended under clause 10.

3. Your services

  1. You may film and submit original video footage, photos and audio ("Content") through the GEM Creators app, whenever you choose.
  2. You decide how, when and where you film, using your own equipment, within the GEM guidelines.
  3. You may work for others, as long as you do not use GEM's Content, brand or confidential information.
  4. GEM decides whether to accept, edit and publish any submission. GEM is not required to publish a minimum amount of your Content.

4. Payment – revenue share

  1. No upfront fee. GEM does not pay a fee for filming or for submitting Content. You are paid only through the revenue share in this clause, plus any amounts GEM agrees in writing for a specific project.
  2. Published Video means a video or Short that GEM publishes and that uses Content you supplied as a main part of it. Published Videos and their figures are listed on your dashboard.
  3. Net Revenue means the money GEM actually receives from platforms (such as YouTube ad revenue, memberships and Super Thanks) that is reported against a Published Video, less platform fees, taxes withheld and refunds.
  4. Your share: a percentage of the Net Revenue of each Published Video, worked out as follows. The Share Period is the 24 months from the date the video is published (or the period shown for that video on your dashboard).
    1. Tiered rate. Your percentage depends on your Monthly Earnings, meaning the revenue share you have earned under this agreement across all your Published Videos from revenue for days in the current calendar month (as dated in the platform's reports). Each band of Monthly Earnings in Schedule 1 is paid at that band's rate, like tax brackets: when your Monthly Earnings pass a threshold, only revenue after that point in the month is paid at the higher rate. Reaching a higher band never reduces what you earned before it. Monthly Earnings start again from $0 on the first day of each calendar month. GEM calculates this automatically and shows your current rate on your dashboard.
    2. Agreed fixed rate. If GEM agrees a fixed percentage with you in writing for all your videos, or for a particular video, that percentage replaces the tiered rate for the revenue it covers, and your dashboard shows it. Earnings at a fixed rate still count toward your Monthly Earnings.
    3. Changes to Schedule 1. GEM may improve Schedule 1 at any time (for example, higher rates or lower thresholds) by updating it in the app. A change that would lower your rate at any level of Monthly Earnings only applies if you accept a new version of this agreement. No change applies to revenue for days before the change takes effect.
    4. If two or more creators supplied Content for the same video, the share is split equally between them unless agreed otherwise in writing.
    5. Royalty after the Share Period. Paragraphs (a) and (b) apply during the Share Period. After it ends, GEM pays you a royalty of 20% of that Published Video's Net Revenue for as long as GEM receives Net Revenue from it. Royalty earnings count toward your Monthly Earnings but are always paid at 20%.
  5. When payment starts: revenue share is only payable once both (a) the channel the video is published on has been accepted into the YouTube Partner Program (or the equivalent program on that platform) and (b) GEM has received the Net Revenue. Revenue earned before then is not owed. You acknowledge this can take many months and may never happen for a channel, and that a Published Video may earn little or nothing.
  6. Dashboard: your dashboard shows estimated views and earnings from platform analytics, refreshed several times a day. Estimates can change; your quarterly statement is final.
  7. How often you are paid:
    1. You choose in the app to be paid weekly (each Friday) or monthly (on the 28th). You can change this at any time and the change applies from your next payment day.
    2. Your available balance is your share of Net Revenue that GEM has received, less what GEM has already paid you. Platforms pay GEM once a month, so your share for a calendar month becomes available on the 25th of the following month, or when GEM receives that month's payment if it arrives later.
    3. On each payment day, if your available balance is at least $50 (the minimum payment amount), GEM will pay your whole available balance within 5 business days. If it is less than $50, it rolls over to your next payment day.
    4. GEM pays in Australian dollars by bank transfer to an Australian bank account, by international bank transfer (SWIFT) to a bank outside Australia, or by PayPal or Wise, using the details you enter in the app. GEM pays its own bank's fee for sending a payment. Fees charged by your bank, intermediary banks, PayPal or Wise to receive the money or convert currency are yours, and may reduce the amount you receive. You must keep your payment details up to date; GEM is not responsible for a payment sent to details you gave incorrectly.
    5. Admin fee. GEM deducts an administration fee of 5% from each payment it makes to you, to cover processing and payment administration. For example, if $100 of your available balance is paid out, GEM transfers $95 to you and the full $100 is deducted from your balance. Each payment's fee is shown on your dashboard and statement. For creator fees from a buyer's brief (clause 4.10), the 5% admin fee is instead deducted when GEM releases the buyer's payment to you, shown on a payment advice, and is not deducted again when that money is paid out to you. GEM will not increase this fee unless you accept a new version of this agreement.
    6. If a platform later reverses or reduces revenue it already paid GEM for a Published Video (for example, for invalid traffic), GEM may deduct your share of that reversal from your future payments and will show it on your statement.
  8. Quarterly statements: within 30 days after the end of each quarter (March, June, September, December), GEM will issue a statement in the app showing, for that quarter, each Published Video's views, Net Revenue and your share, the payments made to you and the admin fees deducted from them, and your balance. You can print it or save it as a PDF.
  9. Expenses: GEM only reimburses expenses it approved in writing before you spent the money.
  10. Paid briefs: GEM may post briefs in the app asking for particular footage, with a fee per accepted clip. If you film for a brief and GEM accepts your clip for it, GEM adds the stated fee to your earnings. The fee becomes payable once GEM has been paid by the client for that brief (or straight away if no client payment is involved), and is paid under clause 4.7. Clips filmed for a brief are Content under this agreement and also earn revenue share if published. If the brief was posted by a GEM Marketplace buyer, the buyer sees your clip only as a watermarked, lower-resolution preview without your name or contact details; if they approve and pay for it, GEM licenses the clip to them for the use stated in the brief and credits you the creator fee shown on the brief, less the 5% admin fee in clause 4.7(e). Prices GEM charges buyers include GST where GST applies; the creator fee shown on the brief is what you earn from each approved clip.
  11. Footage licensing: when you submit footage you can choose to offer it for licensing. GEM may then license accepted footage to third parties (such as media companies, agencies, tourism bodies and publishers) and pays you 50% of each licence fee GEM receives for your footage, after any marketplace or agency commission. If you don't offer a clip for licensing, GEM won't sell separate licences for it, though it may still use it in GEM's own videos.
  12. Tax: if you are in Australia you must give GEM your ABN before your first payment, and if you are registered for GST you must give GEM a tax invoice for each payment. You are responsible for your own income tax and GST. If the law requires GEM to pay superannuation for you, GEM will do so.
  13. Records: you can ask once a year to see the platform reports used for your payments.

6. Ownership of Content

  1. When GEM accepts a submission, you assign to GEM all copyright and other intellectual property rights in that Content, worldwide and for the full term of those rights. GEM may edit, combine, publish, license and monetise it on any platform. Footage GEM does not accept remains yours, and GEM will delete it on request.
  2. You consent to GEM doing anything with accepted Content that might otherwise infringe your moral rights, including not naming you, and editing or adapting it.
  3. You confirm the Content is your original work and does not infringe anyone else's rights.
  4. You may show Published Videos in your personal portfolio, with credit to GEM, but may not re-upload or sell them.

7. Confidentiality and privacy

You must keep confidential GEM's unpublished Content, plans, revenue figures and anyone's personal information that you learn through this work. GEM handles your personal information as set out in the privacy policy.

Signed-in creators can see an in-app leaderboard of top videos and creators. Unless you opt out in your profile, it shows your first name and last initial, your Published Videos' titles and their views and earnings. It also shows monthly awards (best performing, most viewed and top growth). Leaderboard figures are confidential to GEM creators under this clause.

8. Equipment, safety and insurance

You supply and maintain your own equipment, and you are responsible for your own safety, travel and any insurance you choose to hold.

9. Warranties and liability

You confirm you are 18 or over, you have the right to enter this agreement, and the details you give GEM are true. Each party is responsible for loss caused by its own breach of this agreement or negligence. Nothing in this agreement excludes rights you have under the Australian Consumer Law or other law that cannot be excluded.

10. Ending the agreement

  1. Either party may end this agreement with 14 days' written notice by email.
  2. GEM may end it immediately if you seriously breach clause 5, 6 or 7.
  3. After it ends, clause 4 continues for Published Videos published before, or within 6 months after, the end date (for the rest of their Share Period and then the royalty in clause 4.4(e)), licence fees under clause 4.11 continue to be paid, and clauses 6, 7 and 9 continue.
  4. If GEM ends the agreement for your serious breach, unpaid revenue share for the video involved in the breach is forfeited.

11. Relationship

You are an independent contractor. Nothing in this agreement makes you an employee, partner or agent of GEM.

12. General

  1. Changes: GEM may update the guidelines in clause 5 by notice. Any other change requires you to accept a new version in the app; changes to clause 4 only apply to videos published after you accept them.
  2. Disputes: the parties will first try to resolve a dispute by talking in good faith for 14 days before taking other action.
  3. Law: New South Wales law governs this agreement.
  4. Signing: you sign this agreement electronically in the GEM Creators app by ticking the statements and typing your full legal name. GEM records the date, time, IP address and device used. You can request a copy at any time.

Example: if your Monthly Earnings so far this month are $2,465 and a video then brings in $100 of Net Revenue, the first $50 of revenue is paid at 70% ($35, taking you to $2,500) and the remaining $50 at 75% ($37.50), so you earn $72.50. On the 1st of the next month your rate starts again at 70%. The 5% admin fee in clause 4.7(e) is deducted when your earnings are paid out.
